These Terms and Conditions ("Terms") govern your access to and use of the exclusive digital system and services provided by Ascend PH ("we," "us," or "our"), an exclusive team operating under Ascendra International. By accessing or using our services, you ("Member," "you," or "your") agree to be bound by these Terms.

1. Acceptance of Terms

By becoming a member of Ascend PH and utilizing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with any part of these Terms, you may not access or use our services.

2. Exclusive Membership

Ascend PH offers its digital system and services exclusively to active and authorized members of the Ascend PH team under Ascendra International. Access to and use of these services are contingent upon your continued good standing as an Ascendra International member and an Ascend PH team member. Any unauthorized access or use by non-members is strictly prohibited.

3. Description of Services

Ascend PH provides its members with a comprehensive digital system designed to automate and enhance network marketing activities, including:

• Custom Branded Websites: Personalized websites for product/service promotion and lead generation.
• Automated Online Prospecting: Tools and strategies for generating qualified leads through online advertising (e.g., Facebook Ads, Google Ads) and digital funnels.
• Smart CRM & Automated Follow-up: A centralized system for managing prospects and team members, with automated communication sequences (email, SMS).
• Duplicable Digital Marketing Assets: Ready-to-use, personalized online marketing materials for team members.
• Automated Team Training & Onboarding: Digital modules and resources for efficient training and onboarding of new team members.
• AI-Powered Prospect Engagement: Intelligent tools for instant responses to inquiries and lead qualification.
• Access to Exclusive Products: Facilitation of marketing and sales for Ascendra International's health & wellness products and insurance solutions.

4. Member Responsibilities

As an Ascend PH member utilizing our services, you agree to:

• Provide Accurate Information: Ensure all information provided during registration and throughout your use of the services is accurate, complete, and up-to-date.
• Lawful Use: Use the services only for lawful purposes and in compliance with all applicable laws and regulations in the Philippines, as well as the policies and guidelines of Ascendra International.
• No Spamming: Not engage in any unsolicited commercial communication (spamming) or other activities that violate anti-spam laws.
• Respect Intellectual Property: Not to copy, reproduce, distribute, or create derivative works from any content, tools, or materials provided by Ascend PH or Ascendra International without explicit authorization.
• Maintain Confidentiality: Keep your account login credentials confidential and be responsible for all activities that occur under your account.
• Ethical Conduct: Conduct all network marketing activities ethically and professionally, upholding the reputation of Ascend PH and Ascendra International.

5. Intellectual Property Rights

All content, features, and functionality of the Ascend PH system, including but not limited to websites, software, text, graphics, logos, and digital marketing assets, are the exclusive property of Ascend PH and/or Ascendra International and are protected by copyright, trademark, and other intellectual property laws. Your use of the services grants you a limited, non-exclusive, non-transferable license to use these assets solely for your network marketing activities within Ascend PH, as permitted by these Terms.

6. Disclaimers

The services are provided on an "as is" and "as available" basis. Ascend PH makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of any content or services provided. We do not guarantee specific results from the use of our system, as success in network marketing depends on various individual factors.

7. Limitation of Liability

To the fullest extent permitted by law, Ascend PH and Ascendra International shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.

8. Termination

We may suspend or terminate your access to the Ascend PH system immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or if your membership with Ascendra International is terminated. Upon termination, your right to use the services will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
